Leonteq AG (SIX: LEON), eine unabhängige Expertin für strukturierte Anlageprodukte sowie Spar- und Vorsorgelösungen, gab heute bekannt, dass im Rahmen ihrer Bezugsrechtsemission insgesamt 2’989’593 neue Leonteq-Namenaktien ausgegeben wurden und voraussichtlich ab morgen, 3. August 2018, an der SIX Swiss Exchange gehandelt werden. Per Ende der Bezugsfrist waren 99.1% der neuen Namenaktien gültig gezeichnet worden. Leonteq wird mit der Ausgabe der neuen Namenaktien einen Nettoerlös von rund CHF 118 Millionen erzielen.
Im Rahmen der am 19. Juli 2018 angekündigten fest übernommenen Bezugsrechtsemission wurden den berechtigten Leonteq-Aktionären insgesamt 2’989’593 neue Namenaktien mit einem Nennwert von CHF 1.00 pro Namenaktie zu einem Ausgabepreis von CHF 41.50 pro neue Namenaktie aus bestehendem genehmigten Kapital angeboten. Bis zum Ende der Bezugsfrist am 2. August 2018, 12.00 Uhr MESZ, wurden Bezugsrechte für 2’963’202 neue Namenaktien gültig ausgeübt. Dies entspricht 99.1% der angebotenen neuen Namenaktien. Die 26’391 neuen Namenaktien, für welche das Bezugsrecht nicht ausgeübt wurde, werden am Markt verkauft.Die Kotierung und der erste Handelstag der neuen Namenaktien an der SIX Swiss Exchange sowie die Lieferung der neuen Namenaktien in Form von Bucheffekten gegen Zahlung des Ausgabepreises sind für morgen, 3. August 2018, geplant.
Das ausgegebene Aktienkapital von Leonteq besteht neu aus 18’934’097 Namenaktien, entsprechend CHF 18ʼ934ʼ097. Die Anteile an Leonteq von Raiffeisen Schweiz (29.02%), Lukas Ruflin1 (8.15%) und Sandro Dorigo (2.45%) bleiben nach Ausübung all ihrer Bezugsrechte unverändert. Wie bereits kommuniziert, haben Raiffeisen Schweiz, Lukas Ruflin Familienbeteiligungen, Sandro Dorigo, Leonteq sowie deren Mitglieder des Verwaltungsrats und der Geschäftsleitung eine Sperrfrist von 180 Tagen vereinbart, vorbehältlich Ausnahmen. Die bisherigen Lock-up-Vereinbarungen bis 2025 für einen Teil der von Lukas Ruflin Familienbeteiligungen gehaltenen Aktien bleiben in Kraft.
Leonteq wird durch die Ausgabe der neuen Namenaktien einen Nettoerlös von rund CHF 118 Millionen. erzielen. Der Erlös soll vor allem zur weiteren Stärkung der Kapitalbasis verwendet werden, um das weitere Wachstum des Geschäfts zu fördern. Auf Pro-forma-Basis unter Berücksichtigung des Nettoerlöses hätte das Eigenkapital von Leonteq per 30. Juni 2018, wenn die Kapitalerhöhung zu diesem Datum durchgeführt worden wäre, CHF 553 Millionen betragen, und die Kernkapitalquote wäre per 30. Juni 2018 bei 23.3% gelegen, gegenüber 18.3% vor dem Bezugsrechtsangebot.
